AUCTION TERMS

SACOS NET AUCTION Membership

Agreement

SACOS Co., Ltd. ("SACOS") hereby establishes the following SACOS NET AUCTION Membership Agreement ("Membership Agreement") for the SACOS NET AUCTION auction website ("Service") operated by SACOS.

Article 1. Scope and Amendment of Membership Agreement

  1. SACOS may modify, delete, or add to this Membership Agreement without obtaining prior consent from members and without prior notice.
  2. All members shall be deemed to have accepted and agreed to the contents of this Membership Agreement when using the Service.

Article 2. Use of the Service and Services Provided

  1. Members shall review and comply with the Terms of Use, Membership Agreement, auction procedures, and other related rules when using the Service.
  2. The services provided through the Service shall include:
    1. Goods sales services;
    2. Any and all services that may be provided by the Service in the future.
  3. SACOS may change, delete, or add to the contents of the Service without prior notice to members.
  4. Use of the Service and delivery of purchased items shall be limited to within Japan.

Article 3. Membership Registration

  1. Membership registration shall be completed using the method designated by SACOS through the Service website.
  2. Users shall not register as members more than once.
  3. Users may register only their own accurate personal information and shall not register false information or information belonging to any third party, whether in whole or in part.

Article 4. Management of Registered Information

  1. Members shall promptly update their registered information using the method designated by SACOS whenever changes occur in their personal information or other registered information.
  2. Members shall manage their registration number (ID) and password at their own responsibility.
  3. Members shall not lend, transfer, share, change the name of, sell, or otherwise allow third parties to use their registration number (ID) or password.
  4. Members shall not disclose their registration number (ID) or password to any third party.
  5. Members shall be solely responsible for resolving any damages arising from insufficient management, misuse, or use by third parties of their registration number (ID) or password, and SACOS shall bear no responsibility whatsoever.
  6. If a member becomes aware of unauthorized use of their registration number (ID) or password by a third party, the member shall immediately notify SACOS and follow any instructions provided by SACOS.
  7. If a member forgets their password, the member may complete the necessary procedures in accordance with the methods separately specified by SACOS within the Service.
  8. If a member forgets their registration number (ID) or wishes to change it, the member shall notify SACOS using the prescribed method established within the Service, and SACOS shall conduct the procedures prescribed by SACOS.
  9. Members wishing to cancel or delete their membership registration shall notify SACOS accordingly. Cancellation or deletion shall be carried out according to SACOS procedures. Any services previously provided shall become invalid. If the member subsequently registers again, SACOS shall treat such registration as a new membership registration.
  10. SACOS shall handle members' personal information in accordance with the separately established Privacy Policy and Cookie Policy.

Article 5. Prohibited Acts

Members shall not engage in any of the following acts:

  1. Any act that violates or may violate the Membership Agreement or Terms of Use.
  2. Any act of using the registration number (ID) or password of a third party, regardless of whether permission has been granted.
  3. Any other act that SACOS deems inappropriate.

Article 6. Cancellation or Modification of Registration

SACOS may cancel membership registration or modify part or all of a member's registration information without prior notice in the following cases:

  1. If the member violates Articles 4 or 5.
  2. If SACOS otherwise determines that cancellation of membership registration or modification of registration information is necessary.

Article 7. Disclaimer

  1. Where SACOS is required to provide notice to a member, such obligation shall be deemed fulfilled by sending notice to the email address registered by the member.
  2. SACOS shall bear no responsibility whatsoever for any damages, losses, or disadvantages arising from the use of the Service or from products bought and sold through the Service.
  3. SACOS shall not be liable for any damages arising from a member's inability to use the Service or purchase products.
  4. SACOS shall be exempt from liability by processing matters in accordance with the information registered by members.
  5. Regardless of the legal basis of any claim, SACOS shall bear no responsibility whatsoever for any claims, losses, or disadvantages arising in connection with the use of the Service.
  6. If a member causes damage to another member or third party through use of the Service, the member shall resolve such matter at their own expense and responsibility and shall not cause inconvenience or burden to SACOS.
  7. SACOS shall be exempt from liability when confirming a member's identity using the methods designated by SACOS in connection with changes to registration information.
  8. Members shall bear all costs associated with computer equipment, communication devices, internet access, telephone charges, communication fees, LAN usage fees, and all other expenses required to use the Service.
  9. SACOS may freely modify, delete, or add to the structure, content, webpages, and other aspects of the Service and shall have no obligation to restore any previous state at a user's request.
  10. The same shall apply to the Service's programs, databases, and all other aspects of the EC system.
  11. If user data is lost or becomes unreadable due to failure or trouble with SACOS computer systems, communication equipment, or communication lines, SACOS may immediately cancel or rescind any sales contract without notice or demand.
  12. SACOS may freely modify, delete, or add to member services without prior notice or consent and shall have no obligation to restore previous versions of such services.

Article 8. Miscellaneous

  1. Communication between SACOS and members shall, in principle, be limited to email and telephone inquiries made during business hours.
  2. The formation, validity, performance, and interpretation of this Agreement shall be governed by the laws of Japan.
  3. In the event that any issue arises that cannot be resolved under this Agreement, SACOS and the member shall seek resolution in good faith.
  4. Any dispute arising in connection with the use of the Service shall be subject to the exclusive jurisdiction of the courts in Tokyo as the court of first instance.
  5. If a member fails to pay the purchase price or otherwise violates this Agreement and SACOS engages legal counsel to recover damages, the member shall also bear the attorneys' fees in accordance with the applicable attorneys' fee regulations.

SACOS NET AUCTION Rules

Article 1. Compliance

Persons participating in the auction shall comply with these Rules.

Article 2. Warranty

When placing bids, bidders shall refer to the photographs and inspection reports provided. All items shall be delivered in their current condition and at the location designated by SACOS.

No warranty is provided for any auctioned equipment.

In the event of a system failure during the auction, SACOS shall bear no responsibility whatsoever for any resulting loss, damage, or disadvantage.

Article 3. Bidding, Price Display, and Award

  1. Both Bid-Up Auctions and Tender Auctions are used.
  2. In a Bid-Up Auction, the bidder offering the highest price at the closing time of the auction shall become the successful bidder.
  3. In a Tender Auction, where multiple bidders submit the same highest bid price, the bidder who submitted the bid first shall become the successful bidder.
  4. Cancellation of bids after confirmation of submission shall not be accepted.
  5. All displayed prices and transaction currencies shall be in Japanese Yen (JPY).
  6. For domestic transactions, consumption tax shall be charged separately.
  7. No cancellation, complaint, or claim shall be accepted after a successful bid has been awarded.
  8. If cancellation occurs after a successful bid, a cancellation fee equal to twenty percent (20%) of the winning bid amount shall be charged.

Article 4. Payment and Delivery

  1. Payment shall be made in full by cash transfer.
  2. Customers may download invoices themselves through the Service.
  3. The full purchase amount must be remitted to the designated bank account within ten (10) days from the auction closing date.
  4. Purchased equipment may be collected at the designated delivery location after confirmation of payment.
  5. Purchased equipment must be collected within two (2) weeks after the auction closing date.
  6. Members shall notify SACOS by telephone or facsimile at least three (3) days prior to collection.
  7. If prior notice is not provided, collection of the equipment may not be possible.
  8. After the designated collection period, a storage fee of JPY 1,000 per day per item shall be charged.
  9. During storage, SACOS shall bear no responsibility whatsoever for deterioration, damage, theft, or loss of the item.

Article 5. Penalty for Breach

If payment is not made as stipulated in Article 4, such failure shall constitute a breach of contract.

In such case, SACOS may terminate the sales agreement and charge the successful bidder liquidated damages equal to twenty percent (20%) of the winning bid amount.

Article 6. Vehicles Requiring Registration

For vehicles requiring inspection registration, after receiving the documents sent by SACOS, the successful bidder shall complete either transfer registration or cancellation registration within one (1) month and shall provide SACOS with a copy of the completed registration documentation.
